Welcome to Looms. These Terms of Service ("Terms") govern your access to and use of the website located at trylooms.com (the "Site") and any related services, features, content, products, and applications offered by us (collectively, the "Services").
The Site and Services are operated by Noire Eagle LLC, a Wyoming limited liability company with its principal place of business at 2106 House Ave, Suite 620, Cheyenne, WY 82001, United States ("Looms", "we", "us", or "our").
PLEASE READ THESE TERMS CAREFULLY. They contain important information about your legal rights, remedies, and obligations, including a binding arbitration agreement and a class action waiver (see Section 18), which affect how disputes are resolved.
By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms and our Privacy Policy, Shipping Policy, and Return & Refund Policy, each of which is incorporated by reference. If you do not agree, you must not use the Site or place an order.
1. Eligibility
To use the Site or purchase products from us, you must:
- Be at least 18 years of age (or the age of majority in your state of residence, whichever is greater);
- Be a resident of the United States with a valid U.S. shipping address;
- Have the legal capacity to enter into a binding contract; and
- Not be prohibited from purchasing or receiving our products under any applicable law.
By placing an order, you represent and warrant that you meet all of the above requirements. We reserve the right to refuse service, cancel orders, or close accounts at our sole discretion.
2. Account Registration
You may browse the Site without creating an account, but certain features (including subscriptions and order history) require registration. If you create an account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your information;
- Keep your password confidential and secure;
- Accept responsibility for all activities that occur under your account.
You must notify us immediately at support@trylooms.com of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
3. Products
3.1 Product Information
We make reasonable efforts to display our products, ingredients, packaging, and pricing accurately. However, we do not warrant that product descriptions, images, colors, or other content on the Site are entirely accurate, complete, current, or error-free. The actual product you receive may vary slightly in appearance from the images shown.
3.2 Ingredients and Allergens
It is your responsibility to review the ingredient list of any product before purchasing or consuming it. If you have a known allergy, sensitivity, medical condition, or are taking medication, you must consult a qualified healthcare professional before use. We are not responsible for any reaction resulting from your failure to review ingredients or to seek appropriate medical advice.
3.3 Availability
All products are offered subject to availability. We reserve the right to limit quantities, discontinue products, and refuse or cancel orders at any time, including after an order has been confirmed.
4. Health and Medical Disclaimer
OUR PRODUCTS ARE DIETARY SUPPLEMENTS, NOT MEDICAL TREATMENTS. The following disclaimers apply to all products sold on the Site:
- FDA Disclaimer: These statements have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease.
- Not Medical Advice: Any information provided on the Site, in product descriptions, in marketing materials, on social media, or by our customer service team is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.
- Consult a Healthcare Professional: You should always seek the advice of a licensed physician or qualified healthcare provider before starting any new supplement, especially if you are pregnant, nursing, planning to become pregnant, taking any medication, undergoing medical treatment, or have a known or suspected medical condition.
- Not for Children: Our products are intended for adults aged 18 and over. Keep out of reach of children.
- Stop Use and Consult a Doctor if you experience any adverse reaction.
You assume all risk associated with the use of our products. By purchasing, you acknowledge and agree to the disclaimers above.
5. Orders, Pricing, and Payment
5.1 Order Acceptance
Your order is an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, errors in product or pricing information, suspected fraud, or violations of these Terms. An order is not confirmed until we send a shipping confirmation email.
5.2 Pricing
All prices are listed in U.S. dollars (USD) and exclude applicable sales tax, which is calculated and added at checkout based on your shipping address. Prices are subject to change at any time without notice; however, changes will not apply to orders already accepted.
5.3 Pricing and Typographical Errors
In the event a product is listed at an incorrect price or with incorrect information due to a typographical, technical, or pricing error, we reserve the right to refuse or cancel any order placed for the product, whether or not the order has been confirmed and your payment method charged. If your payment method has already been charged for an incorrectly priced order, we will issue a full refund.
5.4 Payment
We accept major credit and debit cards and other payment methods displayed at checkout. By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize us (or our payment processor) to charge the full order amount, including taxes and shipping.
5.5 Sales Tax
We collect applicable U.S. state and local sales tax in jurisdictions where we are required to do so. The amount will be displayed at checkout.
6. Subscriptions
If you enroll in a recurring subscription:
- You authorize us to automatically charge your selected payment method at the frequency you select (e.g., every 30 or 60 days) until you cancel;
- You may pause, skip, modify, or cancel your subscription at any time through your account dashboard or by emailing support@trylooms.com;
- Cancellation requests must be received at least 24 hours before your next scheduled billing date to prevent the next order from processing;
- Subscription pricing, frequency, and any associated discounts are disclosed at checkout and may be updated with reasonable notice;
- Once a subscription order has been billed and shipped, it is subject to our Return & Refund Policy.
7. Shipping and Returns
Shipping terms (transit times, fees, addresses, lost packages) are governed by our Shipping Policy. Returns and refunds are governed by our Return & Refund Policy. Both policies are incorporated into these Terms.
8. Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, images, photographs, videos, product designs, packaging, the "Looms" name and brand, and any compilations or arrangements thereof — is the property of Noire Eagle LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. You may not:
- Copy, reproduce, distribute, modify, or create derivative works from any content;
- Use any of our trademarks, branding, or product imagery without our prior written consent;
- Scrape, data-mine, frame, or use automated systems to access the Site;
- Reverse engineer, decompile, or attempt to extract source code from any part of the Site.
Any unauthorized use terminates the license granted herein.
9. User Content
If you submit reviews, comments, photos, testimonials, or any other content to the Site or our social media channels ("User Content"), you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, and display that content in any media, including for marketing and advertising purposes, without compensation to you.
You represent and warrant that:
- You own or have the necessary rights to your User Content;
- Your User Content does not violate any third party's rights, including privacy and intellectual property rights;
- Your User Content is accurate, lawful, and not misleading.
We reserve the right (but have no obligation) to remove any User Content at our sole discretion.
10. Prohibited Uses
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law;
- Resell, distribute, or commercially exploit our products without our prior written consent;
- Misrepresent your identity or affiliation with any person or entity;
- Submit false, fraudulent, or misleading information (including chargebacks made in bad faith);
- Interfere with the security or proper functioning of the Site;
- Use the Site to transmit viruses, malware, or other harmful code;
- Attempt to gain unauthorized access to any part of the Site, our systems, or other users' accounts;
- Engage in return fraud, promotional code abuse, or any activity intended to defraud us or other customers.
11. Promotional Codes and Discounts
Promotional codes, discounts, and offers are subject to additional terms communicated at the time of the offer. Unless stated otherwise, codes:
- Are limited to one use per customer;
- Cannot be combined with other offers;
- Have no cash value and are non-transferable;
- May be revoked or modified at any time;
- Are void if obtained or used through fraud or in violation of these Terms.
12. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk and subject to the terms of those sites.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, SERVICES, AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title;
- Warranties that the Site will be uninterrupted, secure, error-free, or free of viruses;
- Warranties regarding the accuracy, reliability, or completeness of any content on the Site;
- Warranties that any product will produce specific health, wellness, or aesthetic results.
Some states do not allow the exclusion of certain implied warranties, so some of the above exclusions may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOIRE EAGLE LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to lost profits, lost data, loss of goodwill, personal injury, or business interruption, arising out of or related to:
- Your use of (or inability to use) the Site or Services;
- Any product purchased through the Site;
- Any content posted, transmitted, or made available through the Site;
- Unauthorized access to or alteration of your transmissions or data.
Our total aggregate liability to you for any and all claims arising out of or related to these Terms, the Site, the Services, or any product, regardless of the form of action, shall not exceed the greater of (a) the total amount paid by you to us in the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Noire Eagle LLC and its officers, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your breach of these Terms or any incorporated policy;
- Your use or misuse of the Site, Services, or any product;
- Your User Content;
- Your violation of any applicable law or any third party's rights.
16. Termination
We may suspend or terminate your access to the Site, Services, and/or your account at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination (including Sections 4, 8, 9, 13, 14, 15, 18, and 19) will survive.
17. Governing Law
These Terms and any dispute arising out of or related to them, the Site, the Services, or any product purchased from us are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
18.1 Agreement to Arbitrate
Except for claims that may be brought in small-claims court, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or any product ("Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court.
18.2 Arbitration Procedure
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be held in Cheyenne, Wyoming, or, at your election, by telephone or video conference, or in your county of residence. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
18.3 Class Action Waiver
YOU AND LOOMS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
18.4 Opt-Out
You may opt out of this arbitration agreement by sending written notice to support@trylooms.com within 30 days of first accepting these Terms. The notice must include your full name, address, and a clear statement that you wish to opt out of arbitration.
18.5 Exceptions
Either party may bring an individual action in small-claims court for claims within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
19. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. Material changes will be communicated by posting an updated version on the Site and, where appropriate, by other means (such as email). Your continued use of the Site or placing of new orders after changes are posted constitutes acceptance of the revised Terms.
20. Miscellaneous
- Entire Agreement. These Terms, together with the Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and us regarding the Site and Services and supersede all prior agreements.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including natural disasters, supply chain disruptions, carrier delays, labor actions, and government orders.
- Headings. Section headings are for convenience only and do not affect interpretation.
